Music arrangements and productions

PLEASE READ CAREFULLY:

AGREEMENT, MEMORANDUM OF UNDERSTANDING, AND DISCLAIMER

This Agreement is entered into on [Insert Date] by and between Musikolab, a division of IXYSCO LLC, located in Springfield, Missouri, United States of America ("Musikolab"), and [Insert Client Name] ("Client"). The parties agree as follows:

1. Scope of Work

• Musikolab agrees to compose, arrange, and record a musical piece according to the genre or style specified by the Client.

• All recording will be conducted on a virtual studio platform and associated tools.

2. Timeline

• Each song production requires a minimum of 14 business days. The actual time may vary based on the complexity of the project or other factors.

3. Revisions

• Musikolab will provide up to three (3) revisions as part of the agreed-upon price.

• Additional revisions beyond the initial three (3) will incur extra charges, which will be disclosed before further work proceeds.

4. Delivery

• Musikolab will provide the Client with an MP3 audio file via email or a third-party electronic transfer platform.

• Delivery is considered complete once the audio file has been successfully sent.

5. Refund Policy

• Once the audio file has been delivered to the Client, no refunds will be issued under any circumstances.

6. Client Acknowledgment

• The Client understands and agrees that Musikolab will use its best efforts to deliver high-quality work. However, Musikolab cannot and does not guarantee the Client's results or success in using the delivered work.

• The Client is solely responsible for how the work is used and for any actions taken in connection with it.

7. Liability

• Musikolab shall not be held responsible or liable for any outcomes, actions, or decisions made by the Client after receiving the delivered work.

8. Dispute Resolution

• Any disputes arising out of or in connection with this Agreement will be settled through negotiation, mediation, or binding arbitration in the State of Missouri, United States of America.

Memorandum of Understanding (MOU)

This Memorandum of Understanding (MOU) establishes the terms of collaboration between Musikolab and the Client. This document confirms mutual intentions without creating legally binding obligations.

1. Intent: Both parties intend to collaborate on producing musical work as described in the Agreement.

2. Understanding:

   • The Client will provide necessary input on genre or style preferences.

   • Musikolab will deliver the completed work within the agreed timeline.

   • Both parties agree to maintain open communication throughout the project.

Disclaimer

Musikolab Disclaimer

• Musikolab, a division of IXYSCO LLC, provides professional music composition, arrangement, and recording services. While we strive for excellence in all our work, we cannot guarantee the Client's success or any specific results from using our work.

• The Client acknowledges that they are fully responsible for the use of the delivered materials and any related outcomes.

• Musikolab is not liable for any actions, decisions, or results stemming from the use of its services.

• This disclaimer applies to all projects and deliverables provided by Musikolab.

By signing below, both parties acknowledge that they have read, understood, and agree to the terms outlined in this Agreement, MOU, and Disclaimer.
